Private Disclosure Agreement (NDA)

Preamble

This Private Disclosure Agreement (“Agreement”) governs all access to confidential information, proprietary materials, technological assets, and business intelligence made available through the website noctAI.VIP (“Platform”) and its affiliated services.

By accessing or interacting with any restricted, private, or premium sections of this Platform, you agree to be bound by the terms of this Agreement. If you do not agree, you must refrain from accessing confidential sections or proprietary materials.

1. Protected Content

This Agreement applies to, but is not limited to:

Digital assets under development or distribution (including all tokens or coins).

Proprietary AI models, algorithms, and frameworks.

Investment projects and related documentation.

Exclusive digital artworks or experiences (e.g. The Oracle viewing experience).

Private products under the Vault ecosystem.

Intellectual property, whitepapers, technical roadmaps, and architectural diagrams.

Premium digital goods, including custom-built AI software and high-value digital books (Arsenal section).

Any communication, written or verbal, containing proprietary business strategies or undisclosed plans.

2. Non-Disclosure

You shall not disclose, reproduce, republish, or share any protected information obtained from noctAI.VIP without express written consent from the Platform’s authorized representatives.

3. Limited Use

All confidential materials provided are intended solely for private evaluation, due diligence, or prospective investment purposes. You shall not utilize the disclosed information for independent ventures, competitive development, or commercial exploitation outside of noctAI.VIP.

4. Intellectual Property

All materials remain the exclusive intellectual property of noctAI.VIP and its partners. No license, transfer of ownership, or usage rights are granted except as explicitly authorized in writing.

5. Legal Remedies

Any breach of this Agreement may result in civil and/or criminal action, including but not limited to financial damages, injunctive relief, and permanent disqualification from accessing noctAI.VIP or any affiliated ventures.

6. Jurisdiction

This Agreement shall be governed by applicable international commercial laws. noctAI.VIP reserves the right to pursue arbitration or legal proceedings in jurisdictions of its choosing.

7. Minimum Investment Disclosure

Certain services and projects on noctAI.VIP involve private investment opportunities with high entry thresholds. The current minimum participation level is $500,000 (USDT equivalent). All financial transactions are exclusively accepted in USDT.

Higher capital commitments may entitle the investor to enhanced equity stakes, priority allocations, or special privileges across the Platform’s various ventures.

All financial contributions, including payments for access or investment participation, are final and non-refundable.

By accessing or continuing to use the Platform, you:

Acknowledge having read and understood this Agreement in full.

Consent to the confidentiality restrictions and legal obligations herein.

Understand that all confidential projects, coins, AI products, and business strategies presented on noctAI.VIP are protected under this Agreement.
